5. No Guarantee of Outcomes

We do not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any content, projections, or analytics provided through our Services.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GURU SPORTS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE AMOUNT YOU PAID TO GURU SPORTS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING FROM YOUR RELIANCE ON ANY PROJECTIONS, ANALYTICS, OR OTHER INFORMATION PROVIDED THROUGH OUR SERVICES, INCLUDING ANY FINANCIAL LOSSES FROM FANTASY SPORTS OR SPORTS BETTING ACTIVITIES.
13. Indemnification
You agree to indemnify, defend, and hold harmless Guru Sports, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any financial losses you incur from fantasy sports or sports betting activities; or (e) your infringement of any third-party rights.
14. Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
14.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or your use of our Services shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, and the arbitrator’s decision shall be final and binding.
14.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against us.
14.4 Exceptions
Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
15. Termination
We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, suspected fraudulent or illegal activity, or extended inactivity.
Upon termination, your right to use our Services will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 5, 8, 11, 12, 13, and 14.
You may terminate your account at any time by contacting us or using the account deletion functionality in the Services, if available.
16. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Guru Sports regarding your use of our Services.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
- Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, pandemics, or internet service disruptions.
